1. About Dental Sutures

Dental Sutures is a trading name of Astflick Group Ltd, a company registered in England and Wales.

References in these Terms to “Dental Sutures”, “we”, “us” or “our” mean Astflick Group Ltd.

2. Business customers only

We supply products exclusively to business customers, including:

  • Dental practices and clinics;
  • Hospitals and healthcare organisations;
  • Dental and medical practitioners;
  • Universities and training institutions;
  • Public-sector organisations; and
  • Authorised trade buyers and distributors.

By placing an order, you confirm that:

  • You are acting wholly or mainly in the course of business;
  • You have authority to place the order on behalf of that business; and
  • The products are being purchased for professional or commercial use.

These Terms are not intended to apply to consumer purchases. Nothing in these Terms excludes any right or liability that cannot lawfully be excluded.

3. Application of these Terms

These Terms apply to all quotations, orders and contracts for products supplied by Dental Sutures.

Any conditions submitted by the customer, including conditions contained in a purchase order, will not apply unless expressly accepted by us in writing.

Submission of a purchase order or completion of an online order constitutes acceptance of these Terms.

A quotation remains valid for the period stated on it. If no period is stated, the quotation will remain valid for 30 days.

4. Orders and acceptance

Submitting an order does not automatically mean that it has been accepted.

A contract is formed when we:

  • Send a dispatch confirmation;
  • Confirm that the products are ready for collection; or
  • Otherwise expressly accept the order in writing.

We may refuse or cancel an order before acceptance where:

  • A product is unavailable;
  • The price or product information contains an obvious error;
  • Payment cannot be authorised;
  • The customer’s credit account is suspended or overdue;
  • We reasonably suspect fraud or unauthorised purchasing;
  • Supply would breach a legal or regulatory requirement; or
  • The quantity ordered exceeds available or permitted stock.

If payment has been taken for an order that we do not accept, the relevant payment will be refunded.

5. Products and availability

Product images are supplied for illustration. Packaging, labelling, branding and product presentation may change without notice, including where changes are made by the manufacturer.

We take reasonable care to ensure that descriptions and specifications are accurate. Minor variations that do not materially affect product performance or intended use will not constitute a defect.

All products are subject to availability. We may limit quantities or offer an appropriate alternative, but we will obtain your agreement before supplying a materially different product.

6. Prices and VAT

Unless expressly stated otherwise:

  • Prices exclude VAT;
  • Delivery charges are additional;
  • Prices may change without notice; and
  • The applicable price is the price confirmed when the order is accepted.

If a pricing error is identified before dispatch, we will contact you. You may confirm the order at the correct price or cancel the affected order for a refund.

7. Payment

Standard website orders must be paid in full at checkout unless an approved credit facility has been agreed.

Payment must be made in cleared funds and without deduction, withholding, set-off or counterclaim, except where required by law.

The customer is responsible for ensuring that purchase orders, invoice references and internal approval processes are completed in sufficient time to meet the payment due date.

8. Credit accounts

Credit accounts may be offered at our discretion and are subject to approval, appropriate credit checks and an ongoing satisfactory payment history.

Unless different terms are shown on the invoice or agreed in writing, approved credit-account invoices are payable within 30 days from the end of the invoice month.

Credit facilities are not guaranteed and may be reduced, suspended or withdrawn where invoices become overdue or the customer’s credit status changes.

We may:

  • Set or change a credit limit;
  • Request payment before dispatch;
  • Suspend supply while an account is overdue;
  • Withdraw discounts where their conditions have not been met;
  • Require future orders to be placed on a pro forma basis; or
  • Require a separately signed personal guarantee before extending credit.

9. Late payment and recovery costs

If an invoice is not paid by its due date, we may exercise our rights under the Late Payment of Commercial Debts (Interest) Act 1998.

These rights may include:

  • Interest at the applicable statutory rate, currently 8% above the relevant Bank of England reference rate;
  • Fixed compensation for each qualifying overdue invoice; and
  • Reasonable debt-recovery costs not covered by the fixed compensation.

Interest accrues daily until cleared payment is received in full.

Where an account becomes overdue, we may:

  • Suspend outstanding or future deliveries;
  • Cancel unfulfilled orders;
  • Withdraw credit facilities;
  • Require future orders to be paid in advance;
  • Remove discretionary discounts or credit arrangements; and
  • Refer the account for debt collection or legal action.

10. Delivery

Standard UK delivery is normally expected within 3–5 working days for products held in stock.

Delivery dates are estimates and are not guaranteed unless we expressly agree otherwise in writing.

Products that are backordered, specially sourced or obtained from a manufacturer may take longer.

11. Risk and ownership

Risk of loss or damage passes to the customer when delivery is completed at the agreed delivery location.

Ownership of the products will not pass to the customer until we have received cleared payment for:

  • The products concerned; and
  • Any other overdue sums owed to us.

Until ownership passes, the customer must keep the products properly stored, protected, insured and identifiable as products supplied by Dental Sutures.

Where legally permitted, we may recover unpaid products that remain owned by us.

12. Inspection and delivery discrepancies

Products must be inspected as soon as reasonably practicable after delivery.

Visible damage, missing products, incorrect products or delivery discrepancies should be reported promptly to: hello@dentalsutures.co.uk.

The customer should retain the products, original packaging, courier label and photographic evidence while the matter is investigated.

Failure to report an issue promptly may affect our ability to verify the problem or make a courier claim. This does not affect liability that cannot legally be excluded.

13. Returns and refunds

All returns require prior authorisation and are governed by our Returns and Refunds Policy .

Because many products are medical, sterile or hygiene-sensitive:

  • Sterile products cannot normally be returned once opened, unsealed, damaged or improperly stored;
  • Products requiring controlled storage may be non-returnable;
  • Bespoke, special-order or specially sourced products may be non-returnable; and
  • Unauthorised returns may be refused.

These restrictions do not apply where products are faulty, damaged on arrival, incorrectly supplied, misdescribed or subject to a product recall.

14. Professional use

Products supplied by Dental Sutures are intended for professional use by appropriately qualified or trained personnel.

The customer is responsible for:

  • Selecting products suitable for the intended procedure;
  • Checking the material, needle type, suture size, specification and compatibility;
  • Reading and following the manufacturer’s instructions for use;
  • Checking packaging integrity and expiry dates before use;
  • Maintaining appropriate storage, stock rotation and traceability records;
  • Complying with applicable clinical, legal and regulatory requirements; and
  • Ensuring products are not used after expiry or where sterile packaging has been compromised.

Information provided on our website is general product information and does not replace professional clinical judgement or the manufacturer’s instructions.

15. Product safety and recalls

Customers must retain sufficient purchase and traceability records to identify products supplied to patients or transferred to another organisation.

If we or a manufacturer issue a safety notice, corrective action or product recall, the customer must:

  • Stop using affected products where instructed;
  • Follow the recall or safety instructions supplied;
  • Assist with product identification and traceability; and
  • Return, quarantine or dispose of affected products as directed.

16. Limitation of liability

Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Breach of an obligation relating to legal ownership of the products;
  • Liability for defective products where it cannot legally be excluded; or
  • Any other liability that cannot lawfully be limited or excluded.

Subject to the above, we will not be liable for:

  • Indirect or consequential loss;
  • Loss of profit, revenue, business, contracts, goodwill or anticipated savings;
  • Loss caused by incorrect product selection;
  • Loss caused by use contrary to the manufacturer’s instructions;
  • Loss caused by improper handling, storage or clinical use; or
  • Clinical outcomes not caused by a product defect or by our negligence.

To the fullest extent permitted by law, our total liability arising from an order will not exceed the total price paid or payable for the products giving rise to the claim.

17. Events outside our control

We will not be liable for delay or failure caused by an event outside our reasonable control, including:

  • Manufacturer or supply shortages;
  • Transport or courier disruption;
  • Industrial action;
  • Failure of utilities or communication networks;
  • Fire, flood, epidemic or pandemic;
  • Government action, import restrictions or regulatory changes;
  • Cyberattack or failure of essential third-party systems; or
  • Severe weather or other major disruption.

We will take reasonable steps to minimise the effects of the event and resume performance when reasonably possible.

18. Intellectual property

Website content, branding, text, graphics, photographs, product presentation and design are owned by or licensed to Astflick Group Ltd.

Dental Sutures branding and associated intellectual property may be owned or managed by Astflick Holdings Ltd and used under licence.

Content may not be copied, reproduced, republished, distributed or commercially exploited without prior written permission.

Manufacturer names, product names and trademarks remain the property of their respective owners.

19. Data protection

Personal information is processed in accordance with our Privacy Policy and applicable UK data-protection legislation.

Business customers are responsible for ensuring that personal information supplied to us has been collected and shared lawfully.

20. Entire agreement

These Terms, together with the accepted order, quotation and any policies expressly incorporated into the contract, constitute the entire agreement between the parties.

Neither party relies on a statement or representation not included in the contract. Nothing in this provision excludes liability for fraud or fraudulent misrepresentation.

21. Changes to these Terms

We may update these Terms from time to time.

The Terms applying to an order will normally be those published or supplied when the order is accepted, unless a change is required by law or agreed by both parties in writing.

22. Severability and waiver

If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.

A delay or failure to enforce a right does not waive that right.

23. Third-party rights

Unless expressly stated otherwise, no person other than the customer and Astflick Group Ltd may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

24. Governing law and jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction.
